WEBSITE DESIGN & DEVELOPMENT AGREEMENT (v1.2) between DIGITAL BRAND SUITE LLC and the client named in the applicable project documentation.
This is the project agreement a client reviews and signs in the client portal after purchasing a website package. It is published here so a prospective client can read the complete agreement before purchasing.
Project-specific details such as the client name, project name, project fee, and payment schedule are completed in the client's own copy inside the portal.
1. AGREEMENT
This Website Design & Development Agreement (“Agreement”) is entered into between Digital Brand Suite LLC (“Company”) and the client identified above (“Client”).
By signing this Agreement electronically, Client agrees to the terms below and authorizes Digital Brand Suite LLC to begin work according to the applicable project scope, quotation, package, and payment schedule.
2. PROJECT SCOPE
Digital Brand Suite LLC will provide the website design and development services described in Client's selected package, quotation, proposal, or project description.
The project scope is limited to the services specifically included in the selected package.
Requests that fall outside the agreed scope may require an additional fee and/or separate quotation before the additional work begins.
3. PROJECT FEE & PAYMENT
Client agrees to pay the project fee according to the payment schedule provided by Digital Brand Suite LLC.
Payments are due according to the applicable invoice or payment schedule.
Digital Brand Suite LLC is not required to begin or continue work while required payments are outstanding.
Any additional services, expenses, third-party costs, or approved changes outside the original scope may be invoiced separately.
Once Client makes payment, payments for the website project and contracted services are non-refundable, subject to applicable law.
4. CLIENT RESPONSIBILITIES
Client agrees to provide the information, content, images, branding materials, account access, approvals, and other materials reasonably necessary to complete the project.
Client is responsible for ensuring that materials supplied to Digital Brand Suite LLC may legally be used for the project.
Client understands that delays in providing required materials, information, feedback, or approvals may affect the project timeline.
5. PROJECT TIMELINE
Digital Brand Suite LLC will make reasonable efforts to meet the estimated project timeline.
Project timelines are dependent upon Client's timely submission of required materials, feedback, approvals, and payments.
A project timeline may be adjusted when delays, revisions, additional requests, technical issues, third-party services, or circumstances outside Digital Brand Suite LLC's reasonable control affect the project.
6. REVISIONS
The number of included revision rounds will be determined by the Client's selected package or quotation.
Included revisions must remain reasonably related to the original project scope.
Requests that substantially change the original direction, functionality, structure, or scope of the project may be treated as additional work and may require an additional fee.
7. CHANGES TO PROJECT SCOPE
Client may request additional services or changes at any time.
Digital Brand Suite LLC will determine whether the request is included within the existing scope.
If additional work is required, Digital Brand Suite LLC may provide a separate quotation or invoice before beginning the additional work.
Digital Brand Suite LLC is not required to complete additional work until the applicable terms and fees have been approved.
8. WEBSITE CONTENT
Unless specifically included in the selected package, Digital Brand Suite LLC is not responsible for creating, rewriting, proofreading, or supplying Client's business content.
Client is responsible for reviewing and approving all final website content before publication.
9. THIRD-PARTY SERVICES
A website may depend on third-party platforms, hosting providers, domain registrars, payment processors, software, plugins, fonts, applications, APIs, stock media, or other services.
Third-party services remain subject to their respective providers' terms, pricing, availability, and policies.
Digital Brand Suite LLC is not responsible for interruptions, changes, discontinuation, price increases, or failures caused by third-party services.
Client is responsible for maintaining any third-party accounts that are registered in Client's name unless otherwise agreed in writing.
10. DOMAIN, HOSTING & PLATFORM FEES
Unless specifically included in the Client's package, domain registration, hosting, premium software, subscriptions, applications, plugins, stock assets, email services, and other third-party expenses are the Client's responsibility.
11. OWNERSHIP & INTELLECTUAL PROPERTY
Upon full payment of all amounts due for the project, Client will receive the rights to use the final website deliverables created specifically for Client as described in the project scope.
Digital Brand Suite LLC retains ownership of its pre-existing systems, processes, templates, frameworks, reusable components, methods, tools, know-how, and other materials that were not created exclusively for Client.
Third-party materials remain subject to their respective licenses and ownership rights.
Digital Brand Suite LLC may display completed work in its portfolio, website, social media, marketing materials, or other promotional materials unless the parties agree otherwise in writing.
12. CLIENT-PROVIDED MATERIALS
Client represents that Client owns or has permission to use any logos, photographs, text, graphics, trademarks, videos, documents, or other materials supplied for the project.
Client is responsible for any claims arising from materials supplied by Client that infringe another person's or company's rights.
13. APPROVAL & FINAL DELIVERY
Client is responsible for reviewing the website and providing final approval before launch or final delivery.
Once the project has received final approval and all required project payments have been received, Digital Brand Suite LLC will complete the applicable final delivery or launch process described in the selected package.
14. POST-LAUNCH SUPPORT
Any post-launch support, revisions, maintenance, training, or website management included with the selected package will be provided according to the terms of that package.
Requests outside the included support period or scope may be billed separately.
15. WEBSITE TRAINING & TECHNICAL SUPPORT
Digital Brand Suite LLC will provide reasonable instructions regarding the basic use and functionality of the completed website as applicable to the services included in the Client's selected package.
Website development does not include ongoing technical training, IT support, software training, platform administration, or training Client's employees, contractors, or third-party representatives on how to operate or administer the website, website builder, hosting platform, plugins, applications, or other third-party systems unless specifically included in the Client's package.
Requests for additional training, technical assistance, system administration, website updates, or one-on-one instruction may be purchased separately at Digital Brand Suite LLC's then-current rates.
Training may be provided through a scheduled training session, instructional materials, or another format determined by Digital Brand Suite LLC.
Digital Brand Suite LLC does not provide instruction on the development, programming, modification, or administration of the underlying website code, database, backend systems, or technical infrastructure unless specifically contracted as a separate service.
Client may request additional Website Training, Website Updates, Technical Support, or Consultation services at any time. These services are separate from the original website design and development scope unless expressly included in the Client's selected package.
16. CANCELLATION, NONREFUNDABLE PAYMENTS & TERMINATION
Either party may request cancellation of the project in writing.
Once Client makes payment, payments for the website project and contracted services are non-refundable, subject to applicable law. This includes payments made for completed work, work in progress, and reserved project time.
If Client cancels the project, Client remains responsible for payment for services completed, approved expenses incurred, and other amounts earned or owed through the effective date of cancellation, and payments already made remain non-refundable.
Digital Brand Suite LLC may terminate the project if Client cancels, becomes disruptive or abusive, repeatedly violates project communication expectations, refuses to cooperate, fails to provide required materials or approvals, or otherwise creates circumstances that make it unreasonable for Digital Brand Suite LLC to continue the project.
If Digital Brand Suite LLC terminates the project for Client conduct or for any other reason permitted under this Agreement, payments already made remain non-refundable, subject to applicable law, and Client will be responsible for amounts properly earned through the termination date.
Digital Brand Suite LLC will fulfill the applicable services and deliverables required under this Agreement to the extent reasonably possible and legally required.
17. NONPAYMENT
If an invoice becomes past due, Digital Brand Suite LLC may pause work until payment is received.
Digital Brand Suite LLC may also suspend access to unpaid services, delay delivery, or terminate the project when permitted by the applicable agreement and law.
Client remains responsible for amounts properly owed under this Agreement.
18. CONFIDENTIALITY
Both parties agree to reasonably protect confidential information received from the other party in connection with the project.
Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
19. ERRORS & CORRECTIONS
Digital Brand Suite LLC will make reasonable efforts to identify and correct errors in its work.
If a material error caused by Digital Brand Suite LLC is identified within the applicable project or support period, Digital Brand Suite LLC will make reasonable efforts to correct the issue.
Digital Brand Suite LLC is not responsible for errors caused by Client-provided materials, third-party services, unauthorized changes, or circumstances outside Digital Brand Suite LLC's control.
20. LIMITATION OF LIABILITY
Digital Brand Suite LLC will provide services using reasonable care and professional judgment.
To the extent permitted by applicable law, Digital Brand Suite LLC will not be responsible for indirect, incidental, special, consequential, or lost-profit damages arising from the project.
To the extent permitted by applicable law, Digital Brand Suite LLC's total liability relating to a project will not exceed the amount actually paid to Digital Brand Suite LLC for that project.
Nothing in this Agreement is intended to exclude liability that cannot legally be excluded or limited.
21. FORCE MAJEURE
Neither party will be responsible for delays or failure to perform caused by circumstances beyond reasonable control, including natural disasters, severe weather, government actions, widespread internet or utility outages, labor disruptions, war, or other extraordinary events.
22. INDEPENDENT CONTRACTOR
Digital Brand Suite LLC is an independent contractor and is not Client's employee, partner, joint venturer, or agent unless otherwise agreed in writing.
23. ELECTRONIC SIGNATURE & ACCEPTANCE
Client agrees that an electronic signature, electronic checkbox, or other electronic acceptance completed through the Digital Brand Suite LLC client portal constitutes Client's legally binding acceptance of this Agreement to the extent permitted by applicable law.
The portal will record the Client's name, email address, date and time of acceptance, and applicable contract version.
Client acknowledges that Client has had the opportunity to review this Agreement before signing.
24. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to this Agreement shall be brought in a court of competent jurisdiction in the State of Alabama, unless the parties agree otherwise in writing.

26. ENTIRE AGREEMENT
